To assist D&D in completing the special opportunity acquisition of Reed's, Inc

On October 22, 2024, Zhiben assisted D&D Source of Life Holding Ltd. ("D&D") in completing the transaction of purchasing convertible bonds issued by Reed's, Inc. from Whitebox Advisors LLC managed fund. Prior to this, in September 2024, Zhiben had already assisted D&D in acquiring a controlling stake in Reed's, Inc. The completion of this bond transaction marks the successful completion of the two-step acquisition of Reed's, Inc.

Reed's, Inc. was founded in 1989 and is a leading producer of natural, handmade beverages, with products sold in over 45000 stores across the United States. Reed's, Inc. has two core brands, Reed's and Virgil's. Reed's, Inc. was previously listed on NASDAQ and retreated to the fan order market to continue trading.

In this project, Zhiben provided multi jurisdictional, cross time zone, efficient, and high-quality legal services for D&D. The project team members include consultant Liu Ning from the New York office and Yu Zixiao and Han Li from the Shenzhen office.
